Terms of Service
Effective June 10, 2026
1. Agreement
These Terms of Service (“Terms”) govern access to and use of PerceptDB — the live multimodal data cloud operated by Miriel, Inc. (“Miriel”, “we”, “us”) at perceptdb.com, including the console, APIs, ingestion endpoints, and related services (collectively, the “Service”). By creating an account or using the Service you agree to these Terms on behalf of yourself and any organization you represent.
2. The Service
PerceptDB stores, processes, indexes, and makes searchable data you connect to it — including video, audio, text, and sensor streams — and derives machine-generated artifacts from that data (embeddings, transcripts, detections, events, and alerts). Machine-generated outputs are probabilistic: they may be incomplete or incorrect and are provided for informational purposes, not as a guarantee of accuracy. You are responsible for validating outputs before relying on them for any consequential decision.
3. Accounts & organizations
You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account and within organizations you administer, including members you invite and the roles you grant them. Notify us promptly of any unauthorized use.
4. Your data & responsibilities
You retain all rights to the data you submit to the Service (“Customer Data”). You grant Miriel a limited license to host, process, transmit, and display Customer Data solely to provide and support the Service. You represent that you have all rights and consents required to connect your data sources — including, where applicable, lawful authority and any required notices or consents for camera, audio, or other monitoring under the laws that apply to you. Recording or analyzing third parties without the consents required by law is prohibited.
5. Acceptable use
You will not: (a) use the Service to violate any law or the rights of others, including privacy and surveillance laws; (b) attempt to probe, breach, or circumvent security or access data of another tenant; (c) resell or provide the Service to third parties except as agreed in writing; (d) use the Service to develop a competing product; (e) upload malicious code or content you lack rights to; or (f) exceed or evade usage limits or metering.
6. Fees & usage
Paid features are billed per the pricing in effect when incurred (seats, storage, perception and retrieval credits). Metered usage is calculated by the Service’s records. Fees are non-refundable except where required by law. We may suspend the Service for non-payment after reasonable notice.
7. Termination
You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate access for breach of these Terms, risk to the Service or other tenants, or extended non-payment. Upon account deletion we delete or de-identify Customer Data within a commercially reasonable period, except records we must retain (e.g., audit and billing records) and backups that age out on a fixed schedule.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. MIRIEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICE IS NOT A LIFE-SAFETY OR EMERGENCY-RESPONSE SYSTEM AND MUST NOT BE RELIED UPON AS ONE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. MIRIEL’S AGGREGATE LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (OR US $100 IF YOU PAID NOTHING).
10. Changes
We may update these Terms from time to time. Material changes will be announced via the Service or email and become effective on the stated date; continued use after that date is acceptance of the updated Terms.
